1. Acceptance of These Terms

These Terms and Conditions (the "Terms") apply to the website, enquiry forms, and communication channels operated under the brand "isaga" by ThinkSaas Technologies Private Limited (the "Company", "isaga", "we", "us", "our"), a company incorporated under the laws of India (CIN: U47413KA2025PTC205621) with its registered office at 4141, Sobha Arena The Park, Kanakapura, Thalaghattapura PO, Doddakallasandra, Bangalore, Karnataka 560062, India. These Terms govern your access to and use of the Platform, and any enquiry you submit through it. By accessing the Platform or submitting an enquiry, you agree to be bound by these Terms. Your use of the Platform is also subject to our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree, please do not use the Platform or submit your details. Nothing in these Terms confers any right on a third party. These Terms do not create, vary, or replace the terms of any services agreement executed between us and a Customer.

2. Definitions

"Cloud Provider" means a third-party provider of cloud infrastructure or platform services, including Amazon Web Services. "Customer" means a business entity that has executed a services agreement with us. "Platform" means the isaga website and any enquiry form, chat, portal, or dashboard we make available through it. "Services" means the cloud technology services we provide to Customers, including cloud reselling and related consulting services. "Services Agreement" means the separate written agreement executed between us and a Customer that sets out the scope, commercials, and terms of an engagement. "User", "you", or "your" means any person or entity that accesses the Platform or submits an enquiry.

3. Business Users Only

The Platform and our Services are intended exclusively for businesses and for persons acting in the course of a trade, business, or profession. They are not offered to consumers, and no consumer protection framework applicable to consumer transactions is intended to apply. You represent that you are at least 18 years of age and that you are duly authorised to submit an enquiry and to share the information you provide on behalf of your organisation.

4. Scope of the Platform and Services

The Platform is an informational and enquiry channel. It describes our Services, allows you to contact us, and allows us to respond to you. isaga provides cloud technology services to business customers, including cloud reselling and related consulting services. The scope of work, pricing, commercial terms, service levels, and commercial arrangements applicable to any engagement are set out solely in the Services Agreement. Nothing on the Platform constitutes a binding offer, quotation, commitment, or invitation to treat. No engagement arises, and no obligation to provide Services is created, until a Services Agreement is executed by both parties. Where we make a portal, dashboard, reporting tool, or similar facility available to a Customer, access to it is governed by these Terms together with the Services Agreement, and the Services Agreement prevails in the event of conflict.

5. Enquiries, Contact, and Your Consent

5.1 Storage of your details

When you submit an enquiry through the Platform, whether by form, chat, email, telephone, or any other channel, you acknowledge and agree that we will store the details you provide in our database for the purposes described in our Privacy Policy.

5.2 Consent to be contacted

You agree that we, and persons acting on our behalf, may contact you by telephone, email, or messaging in order to acknowledge your enquiry, understand your requirements, respond to your query, and discuss our Services with you. You confirm that you have the authority to give this consent in respect of the contact details you submit.

5.3 Withdrawal of consent

You may withdraw this consent and ask us to stop contacting you at any time, at no cost, by writing to us at team@isaga.ai. We will act on your request within the timelines prescribed under applicable law. Withdrawal does not affect the lawfulness of any contact made before the withdrawal, and does not extend to communications we are required to send in connection with an existing Services Agreement.

5.4 Accuracy of information

You must provide information that is true, accurate, and complete, and must not submit the contact details of another person without that person's authority. We may decline to respond to, or may delete, an enquiry that we reasonably believe to be false, fraudulent, or unauthorised.

6. Limited Licence to Access the Platform

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and view the Platform for the purpose of evaluating our Services. This licence does not permit any resale or commercial use of the Platform or its contents, or any derivative use of them. You may not download (other than routine page caching), reproduce, duplicate, copy, republish, sell, distribute, or otherwise exploit the Platform or any part of it without our prior written consent. You may not use framing techniques to enclose our marks, logos, or proprietary information, and you may not use meta tags or hidden text incorporating our names or marks.

7. Acceptable Use

You agree that you will not, and will not attempt to:

• Use the Platform for any unlawful, fraudulent, or unauthorised purpose.
• Submit information that is false, misleading, or that belongs to another person without their authority.
• Upload or transmit any content that is defamatory, obscene, infringing, or otherwise unlawful, or that harms minors in any way.
• Introduce any virus, malicious code, or other material designed to interrupt, damage, or limit the functioning of the Platform or any connected system.
• Probe, scan, penetration-test, or otherwise interfere with the security or integrity of the Platform or our systems.
• Use any robot, spider, scraper, data mining tool, or similar automated means to extract data from the Platform.
• Remove, obscure, or alter any copyright, trademark, or other proprietary notice on the Platform.
• Engage in spamming, phishing, flooding, impersonation, or any similarly disruptive or abusive activity. The list above is not exhaustive. Where we reasonably believe this clause has been breached, we may restrict or withdraw your access to the Platform, and may refer the matter to competent authorities where we are required or entitled to do so. Any measure we take will be proportionate to the breach.

8. Intellectual Property

8.1 Ownership

All content on the Platform, including text, graphics, logos, icons, images, page layout, look and feel, and software, is owned by or licensed to ThinkSaas Technologies Private Limited and is protected by copyright, trademark, and other intellectual property laws. The compilation and arrangement of that content is likewise owned by or licensed to us.

8.2 Our marks

"isaga" and "ThinkSaas" and the associated logos are marks of the Company. You may not use them without our prior written consent.

8.3 Third-party marks

All other trademarks appearing on the Platform are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by us.

8.4 Reservation of rights

No right, title, or interest in any of our intellectual property is transferred to you by these Terms or by your use of the Platform. All rights not expressly granted are reserved.

9. Third-Party Cloud Providers

isaga is an authorised reseller of Amazon Web Services ("AWS"). Where you engage us, your use of AWS services is governed by the AWS Customer Agreement, the AWS Service Terms, and the AWS Acceptable Use Policy as applicable to you, in addition to the Services Agreement. We do not control any Cloud Provider and make no representation or warranty on behalf of any Cloud Provider. Cloud Provider services are made available on the terms of the relevant Cloud Provider, and pricing, features, and availability may change in accordance with that provider's policies. All AWS names, marks, and logos are the property of Amazon Web Services, Inc. and its affiliates, and are used by us solely in accordance with the AWS Trademark Guidelines. Nothing on the Platform should be construed as an endorsement by AWS, or as creating any contractual relationship between you and AWS by reason of your use of the Platform. The Platform may contain links to third-party websites or resources. We do not control those websites and are not responsible for their content, availability, or terms.

10. Communications

By visiting the Platform or contacting us, you consent to receive communications from us electronically. We may communicate with you by email, telephone, messaging, or by posting notices on the Platform, and such communications satisfy any legal requirement that they be in writing. Service-related communications, including responses to your enquiry and notices connected to an existing Services Agreement, may be sent to the contact details you provide. Marketing communications are sent only where permitted under applicable law and may be declined at any time as set out in Clause 5.3.

11. Disclaimer

The Platform and its content are provided on an "as is" and "as available" basis. We use reasonable efforts to keep the Platform available, accurate, and current, but we do not warrant that access will be uninterrupted or error free, that defects will be corrected, or that the Platform or the servers that make it available are free of viruses or other harmful components. Content on the Platform is general information about our Services. It is not technical, financial, tax, or legal advice, and must not be relied on as such. Except as expressly stated in these Terms, all warranties, conditions, and representations, whether express or implied by statute, common law, or otherwise, are excluded to the fullest extent permitted by law.

12. Limitation of Liability

To the fullest extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary loss or damage, including loss of profit, loss of revenue, loss of business, business interruption, loss of anticipated savings, or loss or corruption of data, howsoever arising out of or in connection with the Platform or the enquiry process, whether in contract, tort, or otherwise. Our aggregate liability arising out of or in connection with your use of the Platform shall not exceed INR 10,000 (Rupees Ten Thousand). This clause does not apply to liability arising under a Services Agreement, which is governed exclusively by that agreement. Nothing in these Terms excludes or limits liability which cannot be excluded or limited under applicable law, including liability for fraud or for death or personal injury caused by negligence.

13. Indemnity

You agree to indemnify and hold us and our officers, employees, and affiliates harmless from and against any loss, claim, liability, or expense (including reasonable legal fees) directly arising from your unlawful use of the Platform, your breach of these Terms, your submission of false or unauthorised information, or your infringement of the rights of any third party, except to the extent such loss is attributable to our own act, omission, or negligence.

14. Suspension and Termination

We may suspend, restrict, or terminate your access to the Platform, in whole or in part, where you materially breach these Terms, where we suspect fraud or unlawful activity, where we are required to do so by law or by a competent authority, or for technical or security reasons affecting the operation of the Platform. Where reasonably possible we will give prior notice. Immediate action may be taken without notice where necessary to prevent harm, fraud, a security risk, or a breach of law. Suspension or termination of Platform access does not by itself terminate a Services Agreement, which is governed by its own terms.

15. Amendments

We may amend these Terms from time to time, including for legal, regulatory, security, or technical reasons. The amended version will be published on this page with a revised version number and effective date. Your continued use of the Platform after publication constitutes acceptance of the amended Terms.

16. Waiver

No provision of these Terms is waived, and no breach is excused, unless the waiver or consent is given expressly in writing by us. A waiver of one breach does not operate as a waiver of any subsequent breach.

17. Severability

If any provision of these Terms is held to be invalid, void, or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force and effect.

18. Assignment

You may not assign or transfer these Terms or any rights under them. We may assign or transfer our rights and obligations under these Terms to an affiliate or in connection with a merger, acquisition, or transfer of business, on prior notice to you.

19. Entire Agreement

These Terms, together with the Privacy Policy and any documents expressly referred to in them, constitute the entire understanding between you and us in relation to your use of the Platform, and supersede all prior communications on that subject. Where a Services Agreement is in force, that agreement prevails in the event of any conflict with these Terms.

20. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of India. The courts at Bangalore, Karnataka shall have exclusive jurisdiction over any dispute, claim, or matter arising out of or in connection with these Terms or your use of the Platform.
